De meksikanske lavprisflyselskapene Viva og Volaris skal slå sammen eierskapet, og få et felles holdingselskap, men fortsette å operere under egne brands.
MEXICO CITY/NEW YORK, Dec 18 (Reuters) - Mexico's two busiest airlines, Volaris (VOLARA.MX), opens new tab and Viva, said on Thursday they have agreed to merge, creating a new low-cost airline group that would become the country's largest domestic carrier.
The carriers will continue operating under their existing brands, preserving independent commercial operations while combining ownership at the holding-company level, the companies said in a joint statement, confirming an earlier Reuters exclusive saying a deal was near.

Grupo Viva and Volaris have formalized a strategic agreement to merge their holding companies, giving rise to the new Mexican Airline Group. This transaction, designed as a merger of equals, will grant shareholders of both companies a 50% stake in the resulting entity. Viva shareholders will receive newly issued shares of the Volaris holding company, which will maintain its public listing on the Mexican Stock Exchange (BMV) and the New York Stock Exchange (NYSE).

Grupo Más Vuelos will serve as the parent company for Volaris and Viva maintaining independent brands.
Volaris shareholders approved the merger with Viva this March 25 to create the new Grupo Más Vuelos. This decision, backed by 91.7% of the votes, is the final step toward establishing a holding company that will manage Mexico's two largest ultra-low-cost carriers. The agreement ensures that both airlines will maintain their independent brands, concessions, and operations under a single corporate parent.

The process now moves to the regulatory review phase, which could take up to a year. Enrique Beltranena, CEO of Volaris, explained that the final resolution will depend on a market analysis regarding national connectivity. The agreed structure stipulates that Volaris and Viva will each own 50%of the new holding company on a fully diluted basis. To facilitate this, the issuance of 1,078,528,426 new Volarisshares was authorized.

Current Viva shareholders will receive these new shares to integrate into the project, while the holding company will remain listed on both the Mexican Stock Exchange and the New York Stock Exchange. The board of directors will be chaired by Roberto Alcántara Rojas, current chairman of Viva. The integration aims to optimize capacity and expand the destination network without compromising each operator’s business model, according to information provided by the company.
